Navatech AI Application – General Terms & Conditions

These General Terms & Conditions (“Terms”) govern access to and use of the Navatech Group Limited (“Navatech”) AI Health & Safety application (“nAI”) by customers and their authorised users (“Customer”, or “you”). By accessing or using nAI, you agree to be bound by these Terms.
- Platform Usage & Scope
- nAI is designed to support health, safety, and compliance management within construction and related industries
- nAI is a support tool only and does not replace professional judgment, site supervision, or legal compliance obligations
- Customers must ensure all use of nAI complies with applicable laws and regulations of relevant jurisdiction of operation
- Enterprise Accounts & Responsibilities
- Access is provided to the Customer organisation, which may assign authorised users
- The Customer is responsible for:
- All activity conducted under its accounts
- Ensuring users are properly trained in health & safety procedures
- Maintaining confidentiality of login credentials
- The Customer must ensure all data entered is accurate, complete, and not misleading
- Navatech may suspend or terminate access for breach of these Terms or misuse of nAI
- Subscription, Fees & Billing
- Use of nAI is subject to subscription fees as agreed in the applicable order, contract, or pricing plan
- Fees are payable in advance and are non-refundable unless otherwise agreed or required by law
- Navatech may revise pricing upon renewal with reasonable prior notice
- Failure to pay may result in suspension or termination of access
- Data Ownership & Intellectual Property
- The Customer retains ownership of its data submitted to nAI (“Customer Data”)
- The Customer grants Navatech a limited, non-exclusive, worldwide licence to:
- Host, process, and store Customer Data
- Use data for service delivery, maintenance, support, analytics, and product improvement
- Navatech retains all rights, title, and interest in nAI, including all intellectual property
- Data Protection & GDPR Compliance
- Navatech will process personal data in accordance with:
- UK GDPR and Data Protection Act 2018
- Applicable UAE data protection laws (including Federal Decree-Law No. 45 of 2021, where applicable)
- Navatech acts as a Data Processor and the Customer acts as the Data Controller (where applicable)
- Navatech shall:
- Implement appropriate technical and organisational security measures
- Process personal data only on documented instructions from the Customer
- Not transfer personal data outside permitted jurisdictions without appropriate safeguards
- The Customer is responsible for:
- Ensuring lawful basis for data collection and processing
- Providing required notices to employees and contractors

- Disclaimer & Liability Limitation
- nAI does not guarantee compliance with any specific health and safety laws, codes, or site requirements
- Outputs, reports, and alerts generated by nAI are informational only and must not be solely relied upon for safety-critical decisions
- The Customer remains fully responsible for:
- Site safety management
- Risk assessments, method statements, and compliance procedures
- Ensuring safe systems of work
- To the maximum extent permitted by law:
- Navatech excludes liability for indirect, incidental, or consequential losses
- Navatech’s total liability shall not exceed the fees paid in the preceding 12 months
- Nothing in these Terms excludes liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded under UAE or UK law
- Acceptable Us:
The Customer and its users must not:
- Use nAI for unlawful, fraudulent, or harmful purposes
- Input false, misleading, or fabricated safety records
- Attempt to interfere with system integrity, security, or performance
- Access or attempt to access data not authorised to them
- Availability & Service Changes
- Navatech will use reasonable efforts to ensure availability but does not guarantee uninterrupted service
- nAI may be updated, modified, or temporarily unavailable for maintenance or improvements
- Termination
- Either party may terminate in accordance with agreed subscription terms
- Navatech may suspend or terminate access immediately for material breach
- Upon termination, access to nAI will cease, and Customer Data may be deleted in accordance with Navatech’s data retention policies
- Governing Law
- These Terms shall be governed by:
- UAE law, where the Customer is based in the UAE; or
- English law, where the Customer is based in the UK; or
- as otherwise agreed between Navatech and the Customer
- Any disputes shall be subject to the exclusive jurisdiction of the applicable courts
- Updates to Terms
Navatech may update these Terms from time to time, and continued use of nAI constitutes acceptance of the updated Terms
